Introduction

These Terms of Use (“Terms”) govern your rights and use arising from your access to and use of this website stevezafeiriou.com, saphirelabs.com and the website index.stevezafeiriou.com (the “Sites”), including all content, the tools, applications, functionality, subdomains and services offered on or through the Sites including transactions handled through Lemon Squeezy, our Merchant of Record, which manages sales and billing for both business and consumer users worldwide.

The Sites are the property of Stefanos D. Zafeiriou’s sole proprietorship with the distinctive title SAPHIRE, based in Greece (G.E.MI. Number: 162749406000) (“Saphire”, “Saphire Labs”, “we”, ” us” or “our”), and created to offer information and services to visitors/users (also referred to herein as “user”, “you” or “your”).

Navigating the pages of the Sites and using the content, tools, applications, functionality and services offered on the Websites, implies the unreserved acceptance by the user of the Terms of Service included in this text and it is presumed that the user has studied, understood and accepted all the present terms and conditions of use expressly, unconditionally and irrevocably.

The Index Platform (also referred to herein as “Index”, the “Platform” or “index.stevezafeiriou.com”) delivers data-driven insights using SAPHIRE’s Art Intelligence Scoring Framework (AISF).

In the event that the visitor/user does not agree to these Terms of Service, they should not access or use the Sites and content.

Eligibility. The Sites are intended for users 18 years of age or older. Minors are prohibited from visiting the Sites as according to this law it is intended exclusively for adults. If minors make the website voluntarily or use services accessible through the pages of the Sites, which may be considered inappropriate or inappropriate for them, the administrators of the Sites bear no responsibility.

1. Copyright

The Sites and all of its content, features, subdomains and functionality (except for expressly stated exceptions and those clearly stated to be owned by third parties “third-party copyrights”) and all other materials contained therein , including but not limited to all information, logo and all design elements, marks, Website designs, text, graphics, images, photographs, music, sounds, data, screens, video and audio, distinctive features, software and files, their selection and arrangement and other content (collectively “Site Content”), are the property of Saphire, its licensors or other providers, as applicable, and are protected by copyright, trademark, service mark, trade secret or other intellectual rights and other rights and from applicable national, European and international law.

It is expressly prohibited in any way to use, copy, store, print, interfere, transfer, reproduce, republish, retransmit, publish, upload, post, publicly display, encode, translate, distribute, sell and modify Saphire’s content, in whole or in part , in any way by anyone, or license or otherwise use the Sites and its content for any commercial purpose, without the prior permission of the business.

You hereby acknowledge and agree that all of Saphire’s content is the intellectual property of the above company. Content that is expressly identified as the property of third parties and is not owned by Saphire is not covered by this license. For the use and exploitation of the content of third parties, the interested party should refer to the beneficiaries of the relevant rights.

For any information regarding the rights to reproduce any part of the content, as well as requests for permission to reproduce content, you can contact Saphire, from the relevant section on the Website.

2. Prohibited uses – Restrictions

Users accept and agree that they will only use the Sites for lawful purposes and any applicable laws or regulations and in accordance with these Terms and Conditions of Service, subject to, among others, the legislation regarding the transmission of data from Greece to its member states European Union and third countries.

Users acknowledge and agree that they shall not, nor permit any third party to make or attempt to make use of Sites including but not limited to:

1. Install, promote and/or make available content that contains software viruses or any other electronic code, files or programs designed to interfere with, limit or destroy the operation of any software or telecommunications equipment, or introduce any other material that is malicious or technologically harmful or endanger the security of the Website.
2. Use the Sites in any manner that could disable, overburden, damage or affect the Sites or interfere with any other party’s use of the Website.
3. Use any device, software or routine that interferes with the proper functioning of the Sites or prevent other visitors from using this website.
4. Engage in any automated use of the system, such as using scripts to send comments or messages or using any data mining, robots or similar data collection and extraction tools.
5. Use any technology to collect information about the Sites for any unauthorized purpose.
6. Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Sites, the server on which the Sites are stored or any server, computer or database connected to the Sites or interfere with any way to the proper functioning of the Sites and/or its Content.
7. Send, upload, distribute or disseminate any illegal, offensive, defamatory, harassing, abusive, fraudulent, violent, obscene or any other objectionable content.
8. Participate in or engage in, promote or encourage illegal activities.
9. To upload, publish, transmit or make available in any way through the Sites any content that: i) infringes the intellectual property or proprietary rights of any party or infringes in any way the legal rights of third parties, ii) offends the personality of third parties, iii ) is contrary to the law, fair and commercial ethics, iv) in any way intrudes on the privacy and individual and social rights of third parties or v) remove any copyright, trademark or other proprietary rights notices contained on the Sites or any part thereof.
10. To install and promote, in any way, any kind of unsolicited or unauthorized advertising or unsolicited electronic messages (spam), pyramid schemes and any other form of unwanted content promotion, as well as to install and promote advertisements without the written consent consent of the owners.
11. Mislead anyone as to the origin of the Sites Content, damage the reputation of the owners or third parties in any way, prevent any user from accessing the Sites, the content or any service contained therein or circumvent the control of their identity.
12. Use the Sites for any unauthorized commercial purpose or use the Sites as part of any attempt to compete with us.

Users are solely responsible for their own conduct while accessing or using the Sites and for any consequences thereof. In any case of illegality or contrary to these terms of service, users are obliged to compensate the owner for any positive and consequential damages. The beneficiaries’ non-exercise of their rights does not imply a waiver of these rights.

3. Use of links on third party websites

The Sites may contain links to other websites and resources (“Third Party Websites”). These links are provided solely for the convenience of users, while the websites to which they refer are subject to the respective terms of use of those websites.

You acknowledge that Saphire does not own or control any third party website, content, product, service, which the user may need to access for the purposes of using the services offered through the Sites (e.g. provider services); the providers of which also have full responsibility for the security, legality and validity of the content of their websites and services.

The existence of “links” does not constitute an indication of approval or acceptance of the content of the respective third-party websites (links) by Saphire or the company, which does not bear, vis-à-vis visitors/users, any responsibility for any activities of third-party websites or resources, products, services, content or promotions owned, controlled or operated by third parties and makes no representations or warranties about any third party content.

If you decide to access any of the third-party websites linked to the Saphire Sites, you agree that you do so entirely at your own risk and are therefore required to comply with the terms of use and privacy policies applicable to those third-party websites and address directly to their providers for anything arising from visiting and/or using them.

Each user hereby expressly waives and releases Saphire from all liability arising from the user’s visit to and/or use of any resources, products, services or content or participation in third-party website promotions.

The owner of the Sites is not responsible, vis-à-vis visitors/users, for any leakage of their personal data due to their use, through the Website’s pages of products and services of third parties.

The user further acknowledges and agrees that Saphire bears no responsibility towards the visitor/user and is not responsible, directly or indirectly, for any loss or damage that may occur as a result of the use, access or inability to use the third party content parties even if such third party websites or resources are linked to Saphire partners or third party service providers.

We do not control and are not responsible for third-party sites or services. Your use of third-party sites is at your own risk and subject to their terms and policies.

Affiliate Disclosure

The Sites partners with various online tools, services, and products. Links on the Sites may be affiliate links, and we may earn a commission on purchases made through these links. These links allow tracking of purchases at no additional cost to you. Our priority is to offer top-quality products, services and recommendations. For questions, please contact us.

Automated Data & No Update Obligation

Automated Data; No Update Obligation. Parts of the Sites are generated from automated systems and third-party data sources and may include market, pricing, or sentiment data. Data may be delayed, incomplete, or contain errors. We do not warrant real-time accuracy and assume no obligation to update or correct content, although we may do so at our discretion.

4. Duration and termination

We reserve the right and you agree that we may, without notice or liability and in our sole discretion, terminate these Terms and suspend and/or terminate your access to or use of the Saphire Sites at any time and for any reason; but in particular, if we suspect in our sole discretion that (i) you are violating or breaching any of these Terms of Service, (ii) you are violating or breaching any applicable law or regulation, (iii) you have engaged in fraudulent activity, and/or (iv) you have engaged in activity and/or transactions in violation of these Terms.

You agree that any suspension or termination of your use of or participation in the Sites, or deletion of any content or information posted by you at any time, may be done without prior notice and that we will not be liable to you or any third party for any such suspension or expiry.

5. Limitation of liability – Disclaimer

The Sites, their Content and any features or items obtained through them are provided to you “AS IS” and “AS AVAILABLE”, without any warranty of any kind either expressed or implied. You expressly understand and agree that access to and use of the Site is at your own risk.

All information, scores, indices, and reports generated by the Platform or the AISF are provided for informational and educational purposes only and do not constitute investment, trading, or financial advice.

SAPHIRE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SITES AND ANY PART OF THEM AND ANY EXTERNAL WEBSITES AND YOUR USE OF THE SITES, AND SAPHIRE MAKES NO WARRANTY, EXPRESS OR IMPLIED, AS TO THE COMPLETENESS OF THE SITES, CORRECTNESS, TIMELINESS, MERCHANTABILITY, NON-INFRINGEMENT, SUITABILITY OF SUCH CONTENT FOR ANY USE, APPLICATION OR PURPOSE.

We and any person connected to us do not make any warranty or representation about the accuracy or completeness of the Sites Content, pages, services, options and contents or the content of any third party websites linked to the Sites or servers (“servers”) through which content is made available to users and we assume no responsibility or liability for (1) that your access to or use of the Sites will meet your needs or expectations, (2) that your access or use of the Sites will be uninterrupted, timely, secure or free of errors or omissions, that errors will be corrected or that all questions raised will be answered, (3) that usage data provided through the Sites will be accurate; and/or (4) that the Sites or any content, services or features available on or through the Sites are free of viruses or other harmful components; ea or the like that may be transmitted to or through the Sites by any third party.

You accept the inherent security risks of providing information and online transactions over the Internet and agree that we are not responsible for any breach of security.

Saphire under any circumstances, including the case of negligence, is not responsible for any form of damage suffered by the visitor/user of the pages, contents, services and options of the Sites, which the user does on his own initiative and with the knowledge of these terms. The cost of any corrections or services is borne by the user and under no circumstances by Saphire.

You acknowledge and agree that we have made the Sites available to you and have entered into these terms of service subject to the disclaimer of warranties and limitations of liability in this section. We could not provide the Sites to you without these restrictions.

6. Changes

Changes to the Sites

We may change, update, modify the Saphire Sites from time to time, but the content may not necessarily be complete or up-to-date. Any material on the Sites may be out of date at any time and we are under no obligation to update such material. You also have the right to stop using our Sites or our Content at any time. By continuing to access or use the Saphire Sites after any such changes to the Sites or Content become effective, you will be deemed to have accepted and agreed to such updated Sites and Content. We are not liable for any loss or damage relating to your inability to access or use our Sites.

Changes to the Terms

These Terms and Conditions may be updated or modified from time to time and we reserve the right to modify these Terms of Service (including any Policies) at any time without notice and at our sole and absolute discretion. When we make changes, we will make the updated Terms available on the Saphire Sites and update the “Last Updated” date at the beginning of these Terms accordingly. You should periodically check these Terms for changes. Any changes to these Terms will be effective on the date they are made, and your continued access to or use of the Sites after the Terms of Service have been modified means that you accept and agree to the changes. We recommend that you consult the Terms of Service from time to time so that you are aware of any changes, as they are binding on you. If you do not wish to be bound by any changes or modifications to these Terms, then you should stop using the Saphire Sites immediately.

8. Right to participate

1. Participation in our Sites is open only to persons who are fully capable and competent to satisfy these Terms. You may not allow other persons to use your user credentials and you agree that you are the only authorized user.
2. Our Sites is not directed at children. You must be at least 18 years of age to access the Sites. If you are under 18 years of age, you may not use our websites or any other domain, subdomain, services and features provided by Saphire for any reason. By accessing the Sites, you represent and warrant that you are at least 18 years of age.

If you do not meet all of these requirements, you must not access or use the Sites and its content. By accessing the Sites and using “stevezafeiriou.com”, “saphirelabs.com”, “index.stevezafeiriou.com”, and/or any other subdomains of the Sites and their Content, you represent and warrant that you are of legal age and meet all the appropriate requirements to enter into a binding contract with Saphire.

9. SaaS platform access

Access and Eligibility. The Platform at index.stevezafeiriou.com is available to both individual consumers and business users who are at least 18 years old. If you register or use the Platform on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms. Payments and billing are handled by Lemon Squeezy as Merchant of Record (see Section 10).

Account Creation & Google Sign-In. Access requires authentication via your Google account. By signing in with Google, you authorize us to collect and store your display name and email address to create and administer your account. You are responsible for: (a) maintaining the confidentiality of your credentials; (b) all activity under your account; and (c) ensuring your account is used only by you (no credential sharing).

Telegram Connection (Optional). If you choose to connect Telegram, we store your Telegram ID solely to provide the related functionality you enable. You can disconnect Telegram at any time in your settings; doing so stops further processing of this data (subject to our Privacy Policy for retention and deletion).

Account Data We Process. We process only the data needed to operate your account and subscription:

1. Google: display name and email address
2. Lemon Squeezy (MoR): customer ID, subscription ID, plan, and status
3. Telegram (optional): Telegram ID

10. Subscriptions, trials, billing, and payments

Plans. Access to the Platform requires an active paid subscription. The current plan fee is €59 per month (plus any applicable taxes). We reserve the right to change the fee at any time, effective from the next billing cycle following notice.

Trial. New users may receive a 48-hour free trial. At the end of the trial period (unless canceled via the billing portal), your subscription will automatically convert to a paid plan and your first payment will be processed. We will send you notice prior to the end of the trial.

Merchant of Record. All subscriptions and payments are handled by Lemon Squeezy, Inc., our official Merchant of Record (“MoR”). Lemon Squeezy is the contractual seller to the end-customer (individual or business). Lemon Squeezy:

1. processes and collects payments on our behalf;
2. issues invoices and receipts;
3. applies and remits any applicable VAT, sales tax, or similar; and
4. manages chargebacks and refunds under its own policies.

Your billing portal is available at pay.stevezafeiriou.com.

Lemon Squeezy acts as the contractual seller to you and handles all payments, invoices, receipts, VAT/sales tax, chargebacks and refunds in accordance with its own policies. For all questions regarding billing or payment issues, you should contact Lemon Squeezy; for questions regarding the Platform or service usage, you should contact Saphire.

Relationship of the Parties. When you purchase a subscription, your payment contract is with Lemon Squeezy. Your use of the Platform is governed by these Terms between you and Saphire. We act as the service provider delivering access to the data service purchased through Lemon Squeezy.

VAT and Taxes. Lemon Squeezy determines and collects applicable VAT or sales tax at checkout in accordance with the customer’s billing location and tax status. All displayed prices are exclusive of such taxes unless otherwise indicated.

Discounts and Promotions. Promotional offers, including the €39 per-month lifetime plan, are managed by Lemon Squeezy and subject to the terms of the specific promotion. “Lifetime” means for as long as your subscription remains active and uninterrupted.

Price Changes. We may change the subscription price with at least 14 days’ notice before your next renewal. If you do not agree, cancel before the renewal date through your Lemon Squeezy portal.

Failed Payments or Cancellations. If a payment fails or is canceled, Lemon Squeezy may retry automatically. We may suspend or terminate Platform access until payment is completed.

11. Cancellations and refunds

How to Cancel. You may cancel your subscription at any time through the Lemon Squeezy billing portal linked in your account and email receipts. Cancellations take effect at the end of the current billing period or at the end of the free trial if canceled during the trial.

Refunds. Refunds, chargebacks, and tax adjustments are administered by Lemon Squeezy according to its refund policy and applicable consumer-protection laws. Any refund approved by Lemon Squeezy is issued to your original payment method.

Statutory Consumer Rights. If you are an individual consumer located in the EU or EEA, you may have a legal 14-day right of withdrawal for digital services under the EU Consumer Rights Directive 2011/83/EU. However, by starting the trial or accessing the Platform before that period expires, you expressly request immediate performance and acknowledge that you lose the right to withdraw once access begins.

Suspension or Termination. We may suspend or terminate access for breach, misuse, or non-payment. If we terminate without cause, you will receive a pro-rated refund of the current billing period, processed by Lemon Squeezy.

12. Service scope, availability, and support

Scope of Service. The Platform provides aggregated art-market and news metadata, AI-generated summaries, scoring using the Art Intelligence Scoring Framework (AISF), and related analytics (the “Service Data”). Users may access and view the Service Data through the dashboard. Export functionality (e.g., CSV or JSON) may be added in the future and is subject to availability.

Availability. We use commercially reasonable efforts to keep the Platform available at all times. However, the Platform may be unavailable due to scheduled maintenance, emergency downtime, infrastructure issues, third-party service interruptions or other causes. We do not guarantee uninterrupted or error-free operation, nor do we guarantee specific uptime or service-levels.

Support. Standard support is provided by email at info@saphirelabs.com during normal business hours. Response times are typically within two (2) business days but are not guaranteed.

Changes to the Platform. We may add, modify, enhance, suspend or discontinue features, content, modules, or functionality at any time without prior notice. If we make a change that materially reduces functionality or access (for example removal of a core module), we will use commercially reasonable efforts to provide advance notice, but this is not guaranteed.

Beta or Preview Features. Any feature labeled “Beta,” “Preview,” or similar is provided as-is for evaluation only and may be changed or removed at any time.

13. Acceptable use, rate limits, and security

Fair Use. You may use the Platform only for your own internal business purposes. You must not:

1. interfere with security features or attempt to bypass rate limits or authentication.
2. access or attempt to access data outside your plan;
3. scrape, crawl, or bulk-download Service Data;
4. resell, redistribute, or publish Service Data;
5. use Service Data to train AI, ML, or LLM models without our prior written consent;

Automation and Rate Limits. Any automated access (including future exports or APIs) must respect posted rate limits. We may throttle, suspend, or terminate access for excessive or abusive use.

Security Obligations. You are responsible for maintaining the confidentiality of your credentials and must promptly notify us of any unauthorized access or suspected breach.

14. License, ownership, and feedback

License to You. Subject to these Terms and payment of all applicable fees, Saphire grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and view the Service Data solely for your internal business purposes during your active subscription term. All rights not expressly granted herein are reserved by Saphire.

Restrictions. You may not:

1. copy, modify, distribute, sublicense, rent, lease, transfer, publicly display, adapt, reverse engineer, decompile or otherwise attempt to derive the source code, algorithms, models or underlying logic of the Platform or Service Data (except as permitted by mandatory law);
2. use the Platform or Service Data to provide services to third-parties, act as a service bureau, or use it for commercial resale;
3. remove or obscure proprietary notices, marks or copyright legends contained in the Platform or Service Data; or
4. use the Platform or Service Data in any way that violates applicable law or these Terms.

Ownership. All intellectual property rights, title and interest in and to the Platform, the Service Data, the AI Scoring Engine (AISF), algorithms, models, user interface, dashboards, code, enhancements and any derivative works thereof remain exclusively with Saphire and its licensors. Your use of the Platform does not transfer to you any ownership in the foregoing.

Feedback. By providing any suggestions, comments or feedback (“Feedback”) regarding the Platform or Service Data, you hereby grant Saphire a perpetual, irrevocable, worldwide, royalty-free, fully-paid, transferable and sublicensable license to use, copy, reproduce, modify, adapt, publish, distribute and exploit such Feedback in any manner. You also waive any moral rights you may have in connection with such Feedback.

Processing of Publicly Available RSS Metadata

The Platform automatically collects and processes publicly available metadata, such as article titles, short excerpts, publication dates, author names (where provided), and source URLs, obtained from third-party RSS feeds; solely for informational, analytical, and AI-scoring purposes.

This metadata is used exclusively to identify, summarise, and score publicly available art-related news items within the Platform. It does not include full articles or any personal data of individual readers.

We handle this metadata in compliance with our Privacy Policy, applicable data-protection laws (including the GDPR) and the rights of the original content publishers.

Methodology and Content Ownership

Art Intelligence Scoring Framework (AISF). The Art Intelligence Scoring Framework (AISF) is an analytical and computational methodology developed by SAPHIRE. The AISF quantifies cultural, market and innovation insights in art-related data using a multi-dimensional, AI-based scoring system. All associated algorithms, weights, structures, models, derived metrics, and trade secrets are the sole intellectual property of SAPHIRE. Nothing in these Terms grants you any license or right to use, copy, reverse-engineer, reproduce, distribute or derive the AISF, its code, models, logic or methodology.

Reports and Data Outputs. The reports, dashboards, charts, analyses or other materials generated through the Platform (collectively, “Reports”) incorporate the AISF as well as data from third-party sources and APIs, and serve informational and analytical purposes only. They do not constitute financial, investment, tax, or other professional advice. SAPHIRE does not warrant the completeness, accuracy or timeliness of any third-party data included in the Reports and disclaims all liability for any decisions made on reliance on such content.

Attribution. All Reports, indices, and analyses referencing AISF must include clear attribution: “Source: Index by Steve Zafeiriou © 2025 Saphire Labs.”

15. Protection of personal data and sub-processors

User privacy is important to Saphire and it makes every effort to comply with all laws applicable to the management of personal data and information. For this reason, it has developed a Privacy Policy and Cookie Policy that governs the manner in which data is collected, used, shared, transferred and retained, and is incorporated by reference into these Terms.

The personal data, which the user voluntarily provides through the Sites, is used only for the purposes detailed in the Privacy Policy and is not transmitted to third parties, unless permitted or required by the purposes of the contract and the law. By voluntarily providing his data, the user provides his express consent to their processing, while maintaining his rights defined in the applicable Greek Legislation and in the General Data Protection Regulation (EU) 2016/679 (GDPR).

By using the Saphire Sites you confirm that you have read and understood our Privacy Policy and that you understand and agree to how we collect, use, store, share, transfer and maintain your personal information between us and consent to all actions that we undertake regarding your information in compliance with the Privacy Policy.

When you use our Telegram services, you are automatically bound by their Privacy Policy and Terms of Service, which govern data collection, storage, and usage of their platform.

Use of cookies

The Sites uses “cookies” to allow you to log in to our services and to track your traffic patterns. Please read about the use of cookies in the Cookie Policy.

Data Collected and Purposes. We process only the data needed to deliver and operate our Sites and Platform, including:

1. Google Display Name and Email (used for authentication);
2. Lemon Squeezy Customer ID, Subscription ID, Plan and Status (for subscription management);
3. Optional Telegram ID (if you connect your Telegram account);
4. Technical, usage, and analytics data (e.g., cookies, Google Analytics, Meta Pixel) for performance and security.

The lawful bases for processing are the performance of a contract, legitimate interests, legal obligation, or your consent, as explained in our Privacy Policy.

16. Indemnification

You agree to defend, indemnify and hold harmless Saphire including each of its licensors and service providers and any person affiliated with it from any claims, suits, demands, actions, losses, liabilities, damages, judgments, penalties, fines, expenses and other costs or fees (including reasonable attorneys’ fees) related to or arising out of (1) Your violation of these Terms of Service; (2) Violating any applicable laws, rules or regulations in connection with your access to or use of the Sites; (3) Violation of third party rights, including but not limited to intellectual property rights. (4) Your misuse of the Sites and any other activities related to the Sites Content or Collection and/or (5) any overtly harmful action towards any other user of the Sites with whom you have connected through the Sites.

This indemnification is without regard to the negligence of any party, including any indemnified person.

17. Applicable Law and Other Terms

The above terms and conditions of use of the Saphire Sites, as well as any modification or change thereof, are governed by national, European and international law.

If any part or provision of these Terms is found to be contrary to the above legal framework or becomes invalid, it automatically ceases to be valid and is removed from this, without in any way affecting the validity of the other terms.

This constitutes the entire agreement between Saphire and the visitor/user of its pages and services and only binds them. No modification of these terms shall be considered or made a part of this agreement unless made in writing and incorporated into these terms of service.

Our failure or delay to exercise or enforce any right or provision of these Terms shall not constitute or be deemed a waiver of any future exercise or enforcement of such right or provision.
